1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and AI Innovation Technologies Inc., a Delaware corporation doing business as Quriosly ("Quriosly", "we", "us", or "our"). The Terms govern your access to and use of our website at quriosly.com and our products (collectively, the "Service").
By creating an account, accessing the Service, or otherwise indicating your acceptance, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and your organization.
2. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you are 16 or older.
You may not use the Service if you are barred from doing so under applicable law or if your access has been previously suspended or terminated by us.
3. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@quriosly.com if you suspect unauthorized access.
You must provide accurate and complete information when creating an account, and keep that information up to date. You may not impersonate another person, misrepresent your affiliation, or use the Service under multiple accounts to evade limits or bans.
4. Acceptable use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right
- Send spam, phishing attempts, or unsolicited communications
- Harvest data from respondents without their consent
- Distribute malware, viruses, or any harmful code
- Interfere with, disrupt, or attack the Service or its infrastructure
- Reverse engineer, decompile, or attempt to extract our source code
- Use the Service to compete with Quriosly or build a competing product
- Resell, sublicense, or transfer the Service without our written permission
- Generate or distribute content that is illegal, defamatory, harassing, hateful, or that exploits minors
We may suspend or terminate accounts that violate this section, with or without notice. We may also remove content that violates these Terms or that we determine in good faith is harmful to other users, our service, or third parties.
5. Your content
5.1 Ownership
You retain all rights to the surveys, forms, content, and data you create or submit through the Service ("Your Content"). Quriosly does not claim ownership of Your Content.
5.2 License to Quriosly
You grant Quriosly a limited, non-exclusive, royalty-free license to host, display, transmit, and process Your Content solely as needed to provide the Service. This license terminates when you delete Your Content or your account, subject to backup retention described in our Privacy Policy.
5.3 Your responsibilities
You are responsible for Your Content and for ensuring that:
- You have the rights necessary to submit Your Content
- Your Content does not violate any law or third-party right
- You have obtained any necessary consents from your respondents
- You comply with applicable privacy and data protection laws when collecting responses
6. Subscription and billing
6.1 Plans
The Service is offered through a Free plan and paid plans (Pro, Team, and any successor plans, collectively "Paid Plans"). Plan limits, features, and pricing are described at quriosly.com/pricing and may change with notice as described in section 11.
6.2 Billing
Paid Plans are billed in advance on a monthly or annual basis through Stripe. By subscribing to a Paid Plan, you authorize us to charge your payment method automatically at the start of each billing period.
All fees are exclusive of taxes. You are responsible for any applicable taxes, duties, or government charges.
6.3 Cancellation and refunds
You may cancel a Paid Plan at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will continue to have access to the Paid Plan features until that date.
We do not offer prorated refunds for partial billing periods. We may offer a refund for annual subscriptions cancelled within 14 days of the initial purchase, at our discretion.
6.4 Failed payments
If we cannot process payment, we will retry the charge over several days. If payment cannot be collected, we may downgrade your account to the Free plan and restrict access to Paid Plan features until payment is received.
7. Intellectual property
The Service, including the software, design, name, logo, trademarks, documentation, and all related intellectual property, is owned by Quriosly or our licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service. You may not reverse engineer or attempt to extract our source code unless laws prohibit those restrictions.
Quriosly, the Quriosly logo, and the Quri name and persona are trademarks of AI Innovation Technologies Inc.
8. Feedback
If you give us feedback, suggestions, or ideas about the Service, we may use them without restriction or compensation. You grant us a perpetual, irrevocable, royalty-free license to use any feedback you provide for any purpose.
9. Third-party services
The Service may integrate with or link to third-party services (such as payment processors, email providers, and analytics tools). We are not responsible for those third-party services or their content. Your use of third-party services is governed by their own terms and policies.
10. Service changes and availability
We may modify, suspend, or discontinue any part of the Service at any time. We will give reasonable advance notice of material changes that adversely affect Paid Plan customers, when practical.
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted availability. We may perform maintenance, updates, or repairs that temporarily affect availability.
11. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through an in-product notice at least 30 days before the changes take effect.
Continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree, you must discontinue use of the Service before the effective date.
12. Termination
You may terminate your account at any time through account settings.
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or engage in conduct we determine in good faith is harmful to the Service, our other users, or third parties. We will give notice when practical.
Upon termination, your access to the Service ends and your data is handled according to the retention practices in our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) survive.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, QURIOSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE FULLY SECURE OR NEVER LOST.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, QURIOSLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.
15. Indemnity
You agree to indemnify, defend, and hold harmless Quriosly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
17. General
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Quriosly regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of that provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
